MUTUAL NON-DISCLOSURE AGREEMENT

1. Purpose

Your Company and Momentum BLG LLC wish to exchange confidential information to explore or continue a potential or ongoing business relationship involving services, digital development, marketing, consulting, or collaborations (the ‘Business Purpose’).

2. Definition of Confidential Information

‘Confidential Information’ means any non-public information disclosed by either Party, including business plans, pricing, workflows, login credentials, financial data, intellectual property, or any information reasonably understood as confidential. Confidential Information excludes information that:

3. Obligations of the Parties

Each Party agrees to protect Confidential Information, use it solely for the Business Purpose, not disclose it without permission, restrict access to those with a need to know, and notify the other Party of unauthorized use.

4. Required Disclosure

If legally required to disclose Confidential Information, the Receiving Party must notify the Disclosing Party (unless prohibited) and disclose only what is legally compelled.

5. Ownership

All Confidential Information remains the property of the Disclosing Party. No rights or licenses are granted beyond the limited right to use the information for the Business Purpose.

6. Term & Survival

This Agreement remains in effect for three (3) years from the Effective Date. Confidentiality obligations survive for five (5) years after disclosure.

7. Return or Destruction

Upon request, the Receiving Party must return or destroy all Confidential Information and certify destruction if applicable.

8. No Obligation to Proceed

This Agreement does not obligate either Party to enter into any further relationship or contract.

9. No Warranty

Confidential Information is provided ‘AS IS’ without warranties as to accuracy or completeness.

10. Remedies

Improper disclosure may cause irreparable harm. The injured Party may seek injunctive and equitable relief in addition to legal remedies.

11. Governing Law

This Agreement is governed by the laws of the State of Texas.

12. Entire Agreement

This Agreement constitutes the entire understanding between Your Company and Momentum BLG LLC regarding confidentiality.
